Legal Counsel / Company Secretary

Education & Skills:

  • Minimum of a completed legal qualification and Admitted as an Attorney
  • CSSA would be advantageous
  • Minimum of 7-10 years’ relevant commercial law / company secretary experience
  • Technical knowledge and experience across legal, commercial and business operations specifically within the construction environment 
  • Must have experience specific to contract review and drafting across a broad spectrum (NDA’s, PMC, EPC, consortium, JVs, MoUs, teaming agreements, end-use and project procurement)
  • Background in handling construction contracts related to disputes / claims
  • Must be able to prepare and present comprehensive reports
  • Must have full knowledge of Companies Act, King III and JSE Listings requirements

  • Exceptional interpersonal skills to be able to provide leadership and direction to the Board of Directors
  • Strong commercial acumen and negotiation skills
  • Must be accountable and transparent (passion for ethics)
  • Emotional intelligence and intellectual meticulousness

Responsibilities:

  • Organize and manage board meetings, statutory meetings, board reviews in accordance with the Companies Act
  • Provide comprehensive and practical legal / commercial support to Directors / Senior Management, with specific reference to their duties, responsibilities and powers covering legal, compliance and governance
  • Ensure compliance with relevant legislation like the Companies Act, FSB requirements, King IV, etc.
  • Monitor, oversee, report and implement any remedial actions for non-compliance / risks
  • Ensure that Directors / Senior Management are aware of any laws relevant to or directly affecting the company
  • Provide legal support to the various internal functions, management teams on diverse legal matters including employment law, insurance and any other local regulations applicable to the business operations
  • Represent the company in legal discussions and negotiations with clients, suppliers, and government authorities
  • Review terms and conditions and propose/negotiate required amendments during competitive bidding processes
  • Support the project teams during project delivery with contract interpretation questions and claims
  • Take ownership of the company structure and ensure that all company documentation, licenses, power of attorney etc. is up to date and in line with local legislation
  • Retain, supervise and monitor the work outside of counsel representing the company in litigation matters
